Capital Market Stakeholders Sound Alarm Over New Tax Laws, Call for Dialogue

During a virtual stakeholder forum on the Capital Gains Tax (CGT) provisions under the Tax Reform Act, policymakers, issuers, investors, intermediaries, and regulators discussed strategies to enhance understanding of the new tax regime. The dialogue provided a platform for participants to share insights that could shape effective implementation.
A central focus of the discussion was the 30 per cent tax rate on gains from share disposals, aligning with the country’s corporate income tax rate. While global benchmarks were referenced, participants stressed the importance of collaborative engagement to refine implementation and maintain Nigeria’s appeal as an investment destination. Other issues addressed included the determination of base cost, with recommendations that calculations begin from the Act’s effective date, and the treatment of cross-listed securities to prevent compliance complexities and double taxation.
Alhaji Umaru Kwairanga, Group Chairman of NGX Group, emphasized the Exchange’s role in bridging policy and market realities, noting that significant reforms require clear understanding and careful calibration to preserve investor confidence. Taiwo Oyedele, Chairman of the Presidential Committee on Fiscal Policy and Tax Reforms, added that the Tax Reform Act is intended to create a fair and sustainable tax environment rather than hinder investment. He highlighted that forums such as this allow stakeholders to provide feedback that informs implementation.
Temi Popoola, Group Managing Director of NGX Group, stressed the importance of market resilience, stating that such reforms raise key questions for issuers and investors, and that clarity and dialogue are essential for long-term growth. Participants described the forum as timely and constructive, with NGX Group reaffirming its position as a vital link between government and the industry, ensuring tax reforms support both market vitality and broader economic objectives.
